Food Sector Case Study
The Challenge
Divestiture of a non core business due to lack of synergy with the parent company business. Privately held family business in the snack food sector had numerous brands and decided to divest itself of one of the brands. One brand was distributed and sold at retail, un-refrigerated with extended shelf life, whereas the other brand had products sold under refrigeration with short shelf life. STS was retained as exclusive advisor due to its experience and relationships in the food sector and knowledge of players in the market.
Process
STS was engaged to manage the M&A process. STS prepared marketing materials and approached the market for strategic acquirers. STS brought in a valuable strategic partner that was involved in a complementary deal at the same time, and successfully negotiated the sale at an attractive valuation.
STS created a win-win situation
STS Capital Partners’ ability to negotiate with high-level decision makers resulted in the best strategic partner for our client. STS created a favourable result for the shareholders, including consideration of leasing distribution centers with annual options to renew. The purchaser acquired a valued brand and expanded their product line in a preferred food sector, consistent with their strategic plan. The valuation for our client exceeded the multiple of the concurrent deal the buyer was closing.
