The Challenge
A private equity investor wanted to divest a small company in its portfolio that was losing money. The company was a reseller of voice and data communications systems and provided after market service. The investor wanted to sell the business quickly because it was losing money and was drawing on the investor’s management resources disproportionate to its size and value. STS was retained because of its ability to move quickly to find a buyer and execute a transaction.
Process
STS worked with management to develop a list of competitors in the local market who would be potential buyers. STS also found an international bidder who was brought into the process. Emphasis was on buyers who would bring synergies to the company that would enable them to pay a higher multiple.

The client was able to close the transaction within six weeks at a price that exceeded expectations. The successful bidder was a competitor of similar size who was able to gain considerable synergies by putting the two companies together. By bringing other bidders to the table, pressure was kept on the buyer to maximize price and to move expeditiously.
